Terms of Service

1. Agreement to these terms

These Terms of Service ('Terms') govern your access to and use of Wonk, operated by Upcocreate LLC ('Wonk', 'we', 'us', or 'our') at wonk.us and app.wonk.us.

By creating an account or using Wonk, you agree to these Terms and our Privacy Policy. If you don't agree, don't use Wonk. If you are using Wonk on behalf of an organization, you agree to these Terms on behalf of that organization.

2. Eligibility

You must be at least 18 years old to use Wonk. We reserve the right to verify your age and terminate accounts that do not meet this requirement.

3. Your account

Creating an account

To access most features of Wonk, you need to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials.

Account security

You are responsible for all activity that occurs under your account. Notify us immediately at hello@wonk.us if you become aware of any unauthorized use of your account or any other security breach. We are not responsible for any losses arising from unauthorized use of your account.

One account per person

Each person may maintain only one Wonk account. Creating multiple accounts to circumvent restrictions or access free trial offers is prohibited.

4. Free and paid features

Free tier

Wonk offers a free tier that includes access to the learning feed and a limited number of active courses. The free tier is available to all registered users. We also limit how many new AI-generated courses you can create in a period. The limit is shown in the app and may change. Courses already created for you remain available to you.

Early access

Wonk is in early access. Access is by invitation, and we may change, pause or end early access at any time. Features, content and limits change, and some things will break. No paid plan is available during early access; if one is introduced, we'll tell you before you're charged for anything.

Paid plans

If we introduce paid plans, we will describe them here and on our pricing page before anyone is charged, and you will not be charged without your agreement.

Beans

Beans are points you earn by learning and spend inside Wonk, for example on hints. They have no cash value, can't be sold or transferred, and aren't refundable. We may change how beans are earned and spent, and we'll tell you in the app when a change affects your balance.

5. Acceptable use

You agree to use Wonk only for lawful purposes and in accordance with these Terms. You agree NOT to:

Content and conduct

• Post, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Use Wonk to send unsolicited commercial messages (spam)
• Collect or harvest personal information about other users without their consent

Technical restrictions

• Attempt to gain unauthorized access to any portion of Wonk or its related systems
• Use automated tools (bots, scrapers, crawlers) to access Wonk without our written permission
• Reverse engineer, decompile, or disassemble any part of Wonk
• Interfere with or disrupt the integrity or performance of Wonk or its infrastructure
• Upload or transmit viruses or any other malicious code
• Bypass lesson locks, exploit bugs, or use scripts to earn beans or see answers in ways Wonk does not intend

Academic and commercial restrictions

• Use Wonk-generated content to create competing products or services without our written permission
• Resell or sublicense access to Wonk to third parties

We reserve the right to terminate or suspend your account for violations of these acceptable use standards, without notice for serious violations, or with notice for less serious violations where you have an opportunity to correct the behavior.

6. Your content

Wonk may allow you to submit, post, or share content including course topics, custom learning requests, your answers to questions, and other user-generated content ('Your Content').

You own your content

You retain ownership of Your Content. By submitting content to Wonk, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of operating and improving the Wonk platform.

Your responsibility

You are solely responsible for Your Content. You represent that you have all rights necessary to grant us the license above, and that Your Content does not violate any third-party rights or applicable laws.

Content removal

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, to be harmful to users or the platform.

Feedback

If you send us feedback or flag a mistake, we may use it to improve Wonk without owing you anything for it.

7. Wonk's intellectual property

Wonk and its content, features, and functionality — including the platform design, software, text, graphics, logos, and course content generated by Wonk — are owned by Upcocreate LLC and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use Wonk for your personal, non-commercial learning purposes. This license does not include the right to:

• Copy, modify, or distribute Wonk's content outside the platform
• Use Wonk's name, logo, or branding without our written permission
• Remove any copyright, trademark, or other proprietary notices

8. Course content and AI-generated material

Wonk generates personalized learning content using AI technology. This content is created specifically for your learning experience and is subject to the following:

• AI-generated course content is intended for educational purposes. It may contain errors or inaccuracies and should not be relied upon as professional advice in fields such as medicine, law, finance or safety.
• We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.
• Content generated for you is licensed for your personal use on the platform. You may not republish, sell, or commercially exploit course content.
• Questions, answers, explanations and hints are generated with AI. We check content, but some of it will be wrong. If you spot a mistake, use the flag button and tell us.
• Grades, scores and skill levels in Wonk reflect your activity in the app. They are not exams, certifications or credentials.

9. Third-party services

Wonk integrates with or links to third-party services. These services are governed by their own terms of service and privacy policies. Wonk is not responsible for the content, practices, or policies of third-party services. Your use of third-party services through Wonk is at your own risk.

10. Disclaimers

WONK IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that Wonk will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the content on Wonk is accurate, complete, or up to date. Your use of Wonk is at your sole risk.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPCOCREATE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, WONK OR ITS CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO WONK IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT MADE ANY PAYMENTS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Upcocreate LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of Wonk; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

By you

You may stop using Wonk at any time. To delete your account, email us at hello@wonk.us. We delete or anonymize your personal information as described in our Privacy Policy. Courses generated from a subject you chose are not personal information and may stay in Wonk without any link to your account.

By us

We may suspend or terminate your account at any time if: (a) you violate these Terms; (b) we reasonably believe your account is being used for illegal activity; (c) we are required to do so by law; or (d) we determine it is necessary to protect the safety of other users or the platform.

For non-serious violations, we will generally give you notice and an opportunity to correct the issue before terminating your account. For serious violations (including illegal activity, threats of harm, or severe abuse of the platform), we may terminate immediately without notice.

Effect of termination

On termination of your account, your right to access Wonk ends immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitation of liability, and dispute resolution.

14. Changes to these terms

We may update these Terms from time to time. For material changes, we will notify you by email and/or by displaying a prominent notice in the app at least 14 days before the changes take effect. For non-material changes (such as fixing typos or clarifying language), we may update the Terms without advance notice.

If you continue to use Wonk after updated Terms take effect, you accept the updated Terms. If you do not agree to the updated Terms, stop using Wonk and delete your account.

15. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Informal resolution

Before filing any formal legal claim, you agree to first contact us at hello@wonk.us and give us 30 days to attempt to resolve the dispute informally.

Arbitration

If we cannot resolve a dispute informally, you and Wonk agree to resolve any disputes through binding individual arbitration rather than in court, except for disputes involving intellectual property rights or requests for injunctive relief. The arbitration will be conducted by the American Arbitration Association under its Consumer Arbitration Rules.

Class action waiver

YOU AND WONK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. This waiver applies to arbitration and to any court proceeding.

Exception for small claims

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Users outside the United States

If you access Wonk from outside the United States, you are responsible for compliance with your local laws. Some of the limitations above may not apply to you under the laws of your jurisdiction.

16. General provisions

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wonk regarding your use of the platform and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
